Terms of Service

These terms ("Terms") form a binding agreement between IndusArth Technologies Pvt Ltd ("IndusArth", "we", "us") and the legal entity ("you", "your company") whose employee signs up for or is invited to use TradeOps (the "Service"). By clicking "Create account" or by using the Service, you confirm you have authority to bind your company to these Terms and that you have read and accept them.

1. Eligibility

TradeOps is a B2B platform for legal entities registered in India. You must be at least 18 and authorised to act for your company. The Supply plan is by invitation only — issued by a customer of yours who runs TradeOps on the Procure or Trade plan. The Procure and Trade plans are self-service via signup.

2. The Service

TradeOps is a software-as-a-service platform for procurement, sales, and supplier management. The specific features available to your company depend on your active plan, documented at indusarth.com/#pricing. We may add, change, or retire features with reasonable notice; we will not materially reduce a paid plan's feature set during a billed period.

Pricing for Procure and Trade is published at indusarth.com/#pricing. The Supply plan is free. We reserve the right to change pricing on 30 days' notice; changes apply at your next renewal, not retroactively.

Billing today: manual. We issue a GST-compliant tax invoice each month or quarter (your choice). You pay by NEFT / RTGS within 14 days of invoice date. Payment-gateway integration (Razorpay) is on the roadmap; once enabled, these Terms will be updated and you'll be notified.

Late payments may attract interest at 1% per month from the invoice due date. Persistent non-payment (more than 30 days overdue) entitles us to suspend the account; data is retained for a further 60 days after suspension before access is fully revoked.

6. Your data

All business data you enter into TradeOps — vendor and customer records, RFQs, POs, invoices, payments — belongs to your company. We process it only to operate the Service and only as described in our Privacy Policy. We don't sell your data and we don't use it to train models that benefit other tenants.

You can export your data at any time via the export feature in settings (or, until the in-product export ships, by emailing us and we will provide a CSV bundle within 7 working days).

The Service — including all software, UI, documentation, and brand assets — is owned by IndusArth and licensed (not sold) to you for the duration of your subscription. You retain all rights in the business data you enter.

9. Confidentiality

Each party will treat the other's non-public information as confidential and use it only to perform under these Terms. Standard exceptions apply: information that is or becomes public through no fault of the recipient, was independently developed, or must be disclosed by law.

10. Service availability

We aim for 99.5% monthly uptime, measured at the application level. Planned maintenance is announced at least 24 hours in advance, conducted during low-traffic windows (typically 02:00–05:00 IST), and excluded from uptime calculations. We do not commit to a contractual SLA at this pricing tier; an enterprise SLA is available on request.

11. Disclaimers and limitation of liability

The Service is provided "as is" and "as available". To the maximum extent permitted by Indian law, IndusArth disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Liability cap: Our total aggregate liability for any claim arising from or relating to these Terms or the Service is limited to the fees actually paid by your company to IndusArth in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, consequential, incidental, special, exemplary, or punitive damages.

Nothing in this clause limits liability that cannot be limited under Indian law (e.g. gross negligence, wilful misconduct, or fraud).

12. Indemnification

You'll indemnify IndusArth against third-party claims arising from (a) your business data and how you use the Service, (b) your breach of these Terms, or (c) your violation of any law in connection with your use of the Service. IndusArth will indemnify you against third-party claims that the Service itself infringes that party's IP rights in India, subject to your prompt notice and reasonable cooperation.

You may terminate at any time by emailing [email protected]; effective at the end of the current billing period. No refunds for partial months unless required by law.

We may terminate or suspend for material breach (non-payment, acceptable-use violations, or activity that risks the Service). We will give 14 days' notice for non-payment except in fraud or security cases.

On termination, your data is retained for 60 days (subject to the legal-retention floors in the Privacy Policy) so you have time to export. After that, all tenant data is purged.

14. Governing law and disputes

These Terms are governed by the laws of India. Any dispute will first be discussed in good faith between the parties for 30 days. Unresolved disputes will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Mumbai, in English. The arbitrator's decision is final and binding. Subject to the arbitration clause, the courts at Mumbai have exclusive jurisdiction.

15. Changes to these Terms

We may update these Terms; material changes will be emailed to your account admins at least 14 days before they take effect. If you don't agree, you can terminate before the changes take effect (clause 13). Continued use of the Service after that date constitutes acceptance.
